Mr. Michael Gardner, Founder/Chief Executive Officer
Mr. Michael Gardner has guided Baytree Capital Associates, LLC, since 1990. He has established the firm as a leader of private investment in micro- to mid-cap companies. Mr. Gardner and his team’s full range of merchant banking services include capital raising, alternative public offerings, mergers & acquisitions, distressed lending, and portfolio management for ultra-high net worth clients. As the founder and Managing Member of Baytree Capital, the firm has raised more than $2 billion for investment opportunities.
Having studied for four years at the Naval Officer Candidate School, Mr. Gardner earned his Bachelor’s degree in Economics and Political Science at Brooklyn College. Since establishing his own company, he has managed all aspects of operations, arranging financing and facilitating transactions. Notable achievements include the structuring of the first avatar and photo-sharing deals, and a Kiosk Solutions, Inc., financing transaction focused on the DVD-kiosk technology sphere.
Today Mr. Gardner handles financing for small- to mid-cap public firms in the United States and abroad, undertakes private equity transactions for promising ventures, provides asset management for high-net-worth individuals and families, and serves in an advisory capacity for various institutional clients. Among his present endeavors with the company, he nurtures relationships with technology innovators Goozex, Inc., Kiosk Solutions, Inc., and RAE Systems; manages real estate holdings for members of the Habsburg family; and finances Chinese gold and platinum jewelry manufacturer Kingold Jewelry Inc.
In addition to his efforts with Baytree Capital, Mr. Gardner applies his talent for turning around organizations to the arts and philanthropy. In 2009, he assumed the position of Chairman of the Board of Trustees of the American Academy of Dramatic Arts (AADA). A fan of the organization since his childhood, Mr. Gardner took over at a low point for the organization. Over the course of three years, he successfully brought in new management, eliminated conflicts, and reversed its record for losing money. Profitable and thriving again, the venerable institution enjoys renewed prominence in the world of acting and drama.
In his work as a philanthropist, Mr. Gardner serves on the Board of Trustees of Oklahoma City University and recently completed a term as a Trustee of the New York University (NYU) Langone Medical Center. In 2008, the Mental Health Association of New York City, Inc., recognized him for his ongoing work with the mentally ill. In that same year, Mr. Gardner also earned the Humanitarian Award from the Langone Medical Center Hospital for Joint Diseases.
Mr. James Fuller, Partner/President
Mr. James W. Fuller serves as President at Baytree Capital Associates LLC, where he oversees the West Coast operations and their interests in the Far East including China.
Mr. Fuller has been Director of QPAGOS since May 2017. He has been a Director at Beauty Brands Group Inc. since February 5, 2013, Kogeto, Inc. since April 10, 2015 and Oklahoma Energy Corp. since 1998. He has been an Independent Director of Cavitation Technologies, Inc., since February 15, 2010 and serves as its Member of Advisory Board. He served as a Director of Bridge Information Systems. He served as an Independent Director of Propell Technologies Group, Inc. (now Pledge Petroleum Corp.) from October 14, 2011 to February 17, 2015. He served as a Director of TapImmune, Inc. from May 18, 2012 to February 6, 2013. In 2007 and 2008, he was the Owner of Northcoast Financial brokerage. He served as Senior Vice President of Marketing for Charles Schwab and Company from 1981 to 1985. Subsequently, he served key roles as the President of Bull & Bear Group, a mutual fund/discount brokerage company in New York. He served as the Senior Vice President of the New York Stock Exchange (NYSE) from 1976 to 1981 and was nominated by President Ronald Reagan as the Director of the Securities Investor Protection Corporation (SIPC). He served on the Board of Directors of the Securities Investor Protection Corporation (SIPC) until 1987. He served on the Bush 2002 Technology Advisory Committee. He served as Senior Vice president of Bridge Information Systems. He was the Founder and Head of Morgan Fuller Capital Group.
He has nearly 40 years' experience in the brokerage and related financial services industries. His financial career started in 1968 with J. Barth & Company in San Francisco. He served as West Coast Managing Director for New York based investment banking and trading firm from 1972 to 1974. He managed the consulting practice for the Investment Industries Division of SRI International, where he directed a study on the future of the Securities Industry from 1974 to 1976. His other projects included the development and implementation of the Cash Management Account for Merrill Lynch, which is a standard throughout the brokerage industry. He served as the Chairman of Pacific Research Institute. He served on the Board of Trustees of the University of California, Santa Cruz for 12 years. He is a Member of the Board of the International Institute of Education. He is an Elected Member and Vice Chairman for Finance of the San Francisco Republican Central Committee and is a Member of the Pacific Council for International Policy, Commonwealth Club. He was a Member of the Committee of Foreign Relations. Mr. Fuller graduated from San Bernardino Valley College (A.A., 1960), received his MBA in Finance from California State University and Bachelor of Science in Marketing and Political Science from San Jose State University.
Mr. Martin R. Wade III, Partner/Chief Financial Officer
Mr. Martin R. Wade, III, serves as Chief Financial Officer at Baytree Capital Associates LLC.
Mr. Wade has forty years of experience advising senior management and Boards of Directors during more than 200 acquisitions, divestiture and restructuring processes. He is a turnaround and transformational strategy expert. He served as the Chief Executive Officer at Bengal Capital Partners LLC since 2000. He served as the President and Chief Executive Officer at Tumbleweed Holdings, Inc. from May 2001 to August 2001 and as an Executive Vice President from June 2000 to April 2001. He served from 1998 to 2000 as a mergers and acquisitions banker and from 1998 to 2000 as a Managing Director at Prudential Securities Inc. He served from 1996 to 1998 as a Managing Director in mergers and acquisitions at Salomon Brothers Inc. From 1975 to 1998, He served in various executive positions at Salomon Brothers Inc. (Managing Director M&A), Bankers Trust Company (M&A), Lehman Brothers (M&A) and Price Waterhouse LLC (National Head of Investment Banking). From 1991 to 1996, he served as a National Head of Investment at C.J. Lawrence, Morgan Grenfell, where he was appointed to the Board of Directors. He also spent six years in the Mergers and Acquisitions Department at Bankers Trust and eight years at Lehman Brothers Kuhn Loeb. He is credited with participating in over 200 mergers and acquisitions transactions involving a variety of Fortune 500 clients such as Nike, Cornerstone National Gas Company, Handmark Graphics and Redken Laboratories, Inc. He has held Managing Director positions with firms such as Solomon Brothers, Price Waterhouse and Lehman Brothers. He served as the National Head of Investment Banking at Price Waterhouse in the mid 1990's. He has been Interim Chief Executive Officer at Payless ShoeSource, Inc. since August 2008. Mr. Wade has been Chief Financial Officer of Gold Mining USA, Inc. since August 2017. He serves as Chief Financial Officer for VITA Mobile Systems, Inc. He is a Partner at Catalyst Acquisition Group, LLC. He has been the Chief Executive Officer at Broadcaster, Inc. since August 2001 and served as its President from March 2006 to November 6, 2007. He has been Director of RDA Holding Co. since April 18, 2011. He has been a Director of Alliance One International, Inc. since February 2001. He serves on the board of Media News Group d/b/a Digital First Media, the second largest media company in the U.S. serving over 60 million monthly readers. Mr. Wade is a member of the Board of Directors of NexMed. He served as a Director of Trusted Media Brands, Inc. He also serves as a Member of the Board of Directors at Energy Transfer Group of Dallas, Texas. He served as a Director of Command Security Corporation from August 31, 2004 to April 30, 2008. He served as a Director of Tumbleweed Holdings, Inc. from June 2000 to April 2001. He served as Director of C.J. Lawrence, Morgan Grenfell. He served as a Director of Advaxis Inc. from March 29, 2006 to June 30, 2008. He served as a Director of Apricus Biosciences, Inc. from June 2003 to December 2009. Wade earned his Bachelor of Science in Business Administration from West Virginia University. From 1971 to 1975, Wade was a Captain in the United States Air Force. Following his service to his country, Wade earned a Master of Business Administration degree from University of Wyoming.
Mr. James C. Lanshe, Partner/Vice President
Mr. James C. Lanshe serves as Vice President and General Counsel at Baytree Capital Associates LLC.
Mr. Lanshe also serves as Secretary of Pershing Resources Company, Inc. Mr. Lanshe served as Chief Operating Officer of Nitro Petroleum, Inc. since December 31, 2012 and served as its Interim Chief Executive Officer since December 1, 2013. He is a Partner with the law firm of O'Connor, Cavanagh, Anderson, Westover, Killingworth & Beshears in Phoenix, Arizona. He served as President of Nitro Petroleum, Inc. Mr. Lanshe has been actively involved in law, investment management and oil & gas for over twenty-five years. He served as President and Chief Operating Officer at Nitro since December 31, 2012. He served as Chief Executive of MadisonGrey Fund Services, with offices in New York, Atlanta and Cayman, that provided administration and regulatory compliance services for several billion dollars in fund assets. He served as an Administrative Aide to the former United States Senate Minority Leader, Hugh Scott and as a Captain in the United States Marine Corps Office of the Staff Judge Advocate, during which time he held a State Department appointment as a United States representative to the courts of Japan. He served as the Chief Executive at Norex Corporation, including its subsidiary, Biltmore Trust Company. While at Seton Hall University, he also served as a Consultant to the United Nations Development Program for Europe and the Commonwealth of Independent States (UNDP CIS Program), where he advised on legislative reform within the CIS to facilitate the flow of private capital into that region. He served as the Chairman of Nitro Petroleum, Inc. since December 1, 2013 until June 22, 2014. He serves as a Director of Pershing Resources Company, Inc. He served as a Director at CellTeck Inc. from October 12, 2012 to December 17, 2012. He served as a Director of Nitro Petroleum, Inc. since 2013 until June 22, 2014. He holds an appointment as Honorary Research Associate at Oxford Brookes University School of Social Sciences and Law, Oxford, England, where he guest lectures on transnational business issues and supervises dissertations. Mr. Lanshe serves on various business, civic and charitable boards, including: LaTex Resources (a publicly traded E&P company), Standard Management Corporation (the publicly traded holding company for Standard Life Insurance Company of Indiana), the Saint Thomas University School of Law, Sacred Heart Healthcare System, Muhlenberg College Board of Associates, the Jesse Owens Memorial Health Center and various YMCA organizations in Arizona and Pennsylvania. Mr. Lanshe has previously held a gubernatorial appointment (with senate confirmation) to the Arizona Oil and Gas Conservation Commission and served as that body's representative to the Legal Affairs Committee of the Interstate Oil and Gas Compact Commission. Mr. Lanshe was an Assistant Dean and Faculty Member at Seton Hall University School of Law where he taught domestic and international securities regulation and corporate finance. Specific courses taught included: Securities Regulation, Securities Litigation, Corporate Finance, Problems of Transnational Business, Jurisprudence and Independent Research-supervisor for various securities-related projects. Prior to teaching at Seton Hall, he was an Adjunct Faculty Member at the University of Louisville's Brandeis School of Law where he taught mergers and acquisitions and real estate finance. He is admitted to practice law in the states of Arizona, New York, Pennsylvania, Texas and the District of Columbia, as well as various federal courts, including the Supreme Court of the United States. Mr. Lanshe is a graduate of Georgetown University (B.A, with Distinction), Cornell University School of Law (JD), Harvard University (MPA), University of Hawaii (MBA), and Cardiff University (MPhil).
